The lower middle market, defined as privately held businesses with between $5 million and $100 million of revenue, is an increasingly attractive sector for commercial lenders and private equity investors.   Lower middle-market companies are prime targets for acquisition and consolidation because they operate in highly fragmented industries and are nimble enough to outperform their larger competitors.

One driver of the increased number of M&A opportunities in the lower middle market is its large population of baby boomer owners. With no succession plan and impending retirement, a sense of urgency is created for these businesses to change hands. In addition to outright sales, capital is readily available to support growth initiatives, add-on acquisitions, management/partner buyouts and dividends for estate planning.

Simply put, there is a lot of capital in the market ready to be put to work in various forms.  Competition in the lower middle market is intensifying and business owners considering an expansion or exit need to be ready to move and react to opportunities quickly.
